PolymathPlus End-User License Agreement (EULA)
Please read this End-User License Agreement ("Agreement") carefully before using the PolymathPlus software ("Software") provided by PLMT Plus LLC ("Company," "we," "us," or "our"). By installing, copying, or otherwise using the Software, you ("User," "you," or "your") agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.
1.1 License: Subject to your compliance with the terms of this Agreement, the Company hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely for your personal or internal business purposes.
1.2 Scope of Use:
1.2.1: Online Software: You may access and use the online version of the Software without any limitations on the number of devices.
1.2.2: Individual License: Users who have purchased an individual license are permitted to install and use the desktop version of the Software on up to three (3) desktop or laptop devices that they own or control.
1.2.3: Site License: Organizations with a site license may install and use the desktop version of the Software on an unlimited number of public site computers that they own or control.
You agree not to, and you will not permit others to:
2.1 Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
2.2 Modify, adapt, translate, or create derivative works based upon the Software.
2.3 Rent, lease, loan, sell, sublicense, distribute, or otherwise transfer the Software to any third party.
2.4 Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Software.
3.1 The Software is licensed, not sold, to you. The Company and its licensors retain all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, and other intellectual property rights.
4.1 The Software is provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
4.2 PolymathPlus does not warrant that the functions contained in the Software will meet your requirements or that the operation of the Software will be uninterrupted or error-free.
5.1 In no event shall the Company, its licensors, distributors, or their respective dealers be liable to you for any direct, indirect, incidental, special, consequential, or punitive damages whatsoever arising out of or related to your use of the Software, even if the Company has been advised of the possibility of such damages.
5.2 You may use PolymathPlus at your own risk.
6.1 The Company may collect data temporarily to improve the performance and reliability of the Software. This data is collected internally and is not shared with third parties.
7.1 This Agreement is effective until terminated by either party.
7.2 The Company may terminate this Agreement immediately if you fail to comply with any term or condition of this Agreement.
7.3 Upon termination, you must cease all use of the Software and destroy all copies, full or partial, of the Software.
8.1 Default Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the state determined by the Chief Executive Officer (CEO) of the SW Company, without regard to its conflict of law principles.
8.2 Amendment of Governing Law: The Company reserves the right to amend the governing law clause. Any such changes will be effective immediately upon posting and will be communicated to users through email.
8.3 User Agreement: By continuing to use the Software after any amendments to this Agreement, you agree to be bound by the updated governing law clause.
9.1 If any provision of this Agreement is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
10.1 This Agreement constitutes the entire agreement between you and the Company regarding the use of the Software and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
11.1 The Company reserves the right to modify or replace this Agreement at any time. Updated versions will be posted on the Company's website and will be effective immediately upon posting.
11.2 Your continued use of the Software after any such changes constitutes your acceptance of the new Agreement.
